Terms and Conditions
These Terms and Conditions (“Agreement”) govern all services provided by NextWave Audiovisual LLC (“NextWave,” “we,” “us,” or “our”) to the client (“Client” or “you”). By engaging NextWave for design, installation, or support services, you agree to the following:
Scope of Work
All services and deliverables will be outlined in a written proposal or service agreement. Any modifications to the scope must be agreed upon in writing and may result in additional charges.
Project Estimates and Pricing
All pricing is valid for 30 days unless otherwise stated. Pricing may be subject to change due to equipment availability, manufacturer price adjustments, or project modifications.
Payment Terms

A deposit is required to initiate procurement and scheduling.

Payment milestones will be defined in your proposal (e.g., deposit, mid-point, completion).

Final payment is due upon substantial completion unless otherwise agreed.

Late payments may incur a 1.5% monthly finance charge.
Custom Orders and Equipment
All equipment is ordered specifically for your project. Once ordered, items may not be canceled or refunded. Custom and special-order items are non-returnable and non-refundable unless defective.
Installation and Site Access
You agree to provide timely access to the project site, necessary utilities, and information required to complete the installation. Delays caused by lack of access or site readiness may result in rescheduling fees.
Intellectual Property
All system designs, programming, and documentation created by NextWave remain the intellectual property of NextWave until full payment is received. Custom programming and configuration files may be retained for future service.
Warranty

Manufacturer warranties apply to all hardware.

Installation and workmanship are warranted for a period of 12 months from the date of completion.

Warranty does not cover misuse, neglect, or alterations by third parties.
Service and Support
Post-installation support is available under the terms of your selected service plan or billed at our standard hourly rate. Emergency or after-hours service may incur additional charges.
Limitation of Liability

NextWave shall not be liable for indirect, incidental, or consequential damages. Liability is limited to the total amount paid by the Client under this agreement.
Cancellations and Change Orders
Change requests must be submitted in writing. Additional labor, material, or administrative costs due to changes or cancellations will be billed accordingly.
Force Majeure
NextWave shall not be liable for delays or failure to perform due to causes beyond its control, including but not limited to acts of God, supply chain disruptions, labor shortages, or natural disasters.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state in which the project is performed.
Acceptance
Engaging NextWave Audiovisual for services constitutes your agreement to these Terms and Conditions. A signed proposal or contract further affirms this acceptance.
